Section 01

You may use the Platform solely for lawful internal business purposes relating to procurement, sourcing, supplier management, market research, and strategic analysis.

You must not:

• Use the Platform for unlawful purposes.
• Attempt to reverse engineer, decompile, extract, or replicate the Platform.
• Circumvent security controls or usage limits.
• Scrape, harvest, or systematically extract Platform content.
• Use automated tools to access the Platform without permission.
• Access the Platform to build competing products or services.

Section 02

The Platform, including its software, methodologies, workflows, prompts, scoring systems, taxonomies, recommendation engines, reports, frameworks, benchmarks, and analytical models, are owned by Supplied and protected by intellectual property and trade secret laws.

Nothing in these terms transfers ownership of any intellectual property to you.

Section 03

Supplied incorporates proprietary procurement methodologies, including category management frameworks, supplier management frameworks, supplier segmentation methodologies, supplier preferencing methodologies, sourcing methodologies, strategic models, benchmarking approaches, analytical frameworks, and recommendation engines.

These methodologies constitute valuable intellectual property and trade secrets of Supplied and may not be copied, replicated, adapted, commercialised, or used to create competing products or services.

Section 04

Reports, recommendations, strategies, benchmarks, insights, and other outputs generated through the Platform (“Outputs”) are provided for your internal business use only.

Outputs may not be:

• Resold.
• Redistributed.
• Commercialised.
• Published externally.
• Incorporated into consulting or advisory offerings.
• Used in client deliverables.
• Used to develop competing methodologies or services.
• Used to train artificial intelligence systems.

Section 05

You must not use the Platform, Outputs, methodologies, workflows, reports, prompts, strategic frameworks, scoring systems, or analytical structures to:

• Build or support competing products or services.
• Create competing procurement methodologies.
• Develop competing software platforms.
• Provide consulting, advisory, outsourcing, or procurement-as-a-service offerings derived from the Platform.
• Replicate or emulate the Platform’s functionality, workflows, or methodologies.
• Train, fine-tune, benchmark, or improve artificial intelligence systems.

Consulting firms, advisory firms, systems integrators, procurement service providers, and similar organisations may not use the Platform or Outputs to deliver services to third parties without a separate written agreement with Supplied.

Section 06

The Platform, its methodologies, reports, workflows, demonstrations, prompts, structures, scoring systems, and related materials contain confidential information belonging to Supplied.

You agree not to disclose, reproduce, publish, distribute, or share such information except as necessary for authorised internal use.

Section 07

You retain ownership of data you submit to the Platform.

You grant Supplied permission to process such data for the purpose of operating the Platform, generating Outputs, providing support, improving services, and complying with legal obligations.

Supplied may use anonymised and aggregated data for analytics, benchmarking, research, and product improvement purposes.

Supplied does not sell identifiable customer data.

Section 08

Supplied processes personal information in accordance with applicable data protection laws, including the UK GDPR.

Information collected may include:

• Name
• Email address
• Company information
• Account information
• Procurement-related data submitted to the Platform

Information is used to provide services, maintain security, support users, improve the Platform, and comply with legal obligations.

Section 09

Supplied uses cookies and similar technologies to:

• Operate the Platform.
• Maintain security.
• Remember preferences.
• Measure usage and performance.
• Improve user experience.

Cookies may include essential, analytics, and functional cookies.

You can manage cookie preferences through your browser settings.

Section 10

Supplied maintains reasonable technical and organisational measures designed to protect customer information.

These measures may include:

• Encryption.
• Access controls.
• Authentication mechanisms.
• Monitoring and logging.
• Backup and recovery processes.

No system can be guaranteed to be completely secure, and users remain responsible for protecting their own credentials and devices.

Section 11

The Platform may utilise third-party infrastructure, AI providers, payment processors, analytics providers, and integration partners.

Supplied is not responsible for interruptions, inaccuracies, or failures caused by third-party providers.

Section 12

Any suggestions, ideas, recommendations, feature requests, or feedback provided to Supplied may be used by Supplied without restriction or compensation.

You grant Supplied a perpetual, worldwide, royalty-free licence to use and incorporate such feedback into the Platform and related services.

Section 13

The Platform provides information, analysis, recommendations, forecasts, and strategic insights for informational purposes only.

The Platform and Outputs are provided on an “as is” and “as available” basis without warranties of any kind.

Section 14

To the maximum extent permitted by law, Supplied shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profit, revenue, data, goodwill, or business opportunity.

Supplied’s total liability arising from the Platform shall not exceed the fees paid by you to Supplied during the twelve months preceding the claim.

Nothing in these terms excludes liability that cannot lawfully be excluded.

Section 15

Supplied may suspend or terminate access to the Platform where:

• These terms are breached.
• Misuse is suspected.
• Security risks arise.
• Prohibited competitive use is suspected.

Upon termination, all rights to access and use the Platform immediately cease.

Section 16

These terms are governed by the laws of England and Wales.

Any dispute arising from the Platform or these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
